Terms & Conditions

The agreement between you and Zengnia Technologies for using ZenHosp — what you may do with the platform, what we are responsible for, and what happens if something goes wrong.

Last updated: 3 September 2026 Applies to the ZenHosp mobile apps & web platform Privacy Policy
On this page

These Terms and Conditions govern your use of ZenHosp, the hospital ERP and CRM platform operated by Zengnia Technologies (“Zengnia”, “we”, “us”, “our”), including our Android and iOS applications, our website, every hospital-specific ZenHosp portal, and our APIs (together, the “Services”).

ZenHosp is used inside healthcare settings, so parts of these Terms are stricter than you might expect from ordinary software. Please read them properly — particularly Section 4 on what ZenHosp is not, and Sections 17 and 18 on disclaimers and liability.

1

Acceptance of Terms

By creating an account, installing our app, or otherwise using the Services, you agree to these Terms and to our Privacy Policy, which forms part of this agreement. If you do not agree, do not use the Services.

If you accept these Terms on behalf of a hospital, clinic or other organisation, you confirm you have authority to bind that organisation, and “you” means both you and that organisation.

Where your organisation has signed a separate written agreement with us, that agreement takes precedence over these Terms to the extent of any conflict.

2

Definitions

Term Meaning
Services The ZenHosp mobile apps, website, hospital portals and APIs.
Customer The hospital, clinic or organisation that subscribes to ZenHosp.
User Any individual with a ZenHosp account — staff or patient.
Customer Data All data a Customer or its Users enter into or generate through the Services, including patient records.
Subscription The paid plan under which a Customer is licensed to use the Services.
3

Eligibility & Accounts

  • You must be at least 18 years old to hold a ZenHosp account.
  • Staff accounts are created and assigned a role by your hospital. Your role determines what you can see and do.
  • You must give accurate, current information when registering, and keep it up to date.
  • You are responsible for keeping your password and authentication tokens secret.
  • Accounts are personal. Do not share credentials, and do not let another person work under your login.
  • Tell us immediately at support@zengnia.com if you suspect unauthorised access.

Every clinical action in ZenHosp is recorded against the logged-in account. Sharing a login destroys the audit trail your hospital depends on and may breach your professional obligations.

4

ZenHosp Is Not a Medical Provider

ZenHosp does not practise medicine. We provide software that hospitals use to record and organise care. We do not diagnose, treat, prescribe or advise. Every clinical decision is made by a licensed professional who remains fully responsible for it.

Not for emergencies. If you are experiencing a medical emergency, call your local emergency number or go to the nearest emergency department. Never use the app to report one.

  • Clinical decision-support prompts, alerts and calculations in ZenHosp are aids, not instructions. A qualified clinician must verify them before acting.
  • The voice assistant and chatbot are convenience features. Their output must be checked before it is relied on.
  • Nothing in the Services creates a doctor-patient relationship between you and Zengnia.
  • Your hospital remains responsible for its own clinical governance, licensing, and regulatory compliance.
5

Licence to Use the Services

Subject to these Terms and to payment of any applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Services for their intended purpose — running or receiving healthcare services through a subscribing hospital.

This licence does not permit you to:

  • Copy, modify, translate or create derivative works of the Services
  • Reverse engineer, decompile or disassemble any part of the platform
  • Resell, sublicense, rent or offer the Services to third parties as your own
  • Remove or obscure any proprietary notice, branding or watermark
  • Use the Services to build a competing product
6

Acceptable Use

You agree not to:

  • Access records you are not authorised to see, or attempt to escalate your role or permissions
  • Export, copy or disclose patient data outside what your role and your hospital's policy permit
  • Enter false, misleading or fraudulent clinical, billing or insurance information
  • Probe, scan or test the security of the platform without our written permission
  • Upload malware, or anything designed to disrupt or damage the Services
  • Scrape, crawl or harvest data using automated means outside our documented APIs
  • Overload the Services, or circumvent rate limits, quotas or usage restrictions
  • Use the Services for anything unlawful, harassing, defamatory or infringing
  • Interfere with another user's access to the Services

Security researchers are welcome. Report findings to support@zengnia.com before testing anything that could affect live patient data.

7

Your Responsibilities

If you are a hospital or clinic (Customer)

  • You are the controller of the patient data you put into ZenHosp, and you decide how it is used.
  • You must obtain any consents and give any notices your local health and privacy law requires.
  • You must manage user accounts responsibly — grant appropriate roles, and revoke access promptly when staff leave.
  • You are responsible for the accuracy and legality of the data your staff enter.
  • You must hold and maintain all licences and registrations needed to operate your facility.

If you are an individual user

  • Use the Services only within the scope your role and your employer permit.
  • Keep patient information confidential and follow your professional code of conduct.
  • Enter accurate information, and correct errors you become aware of.
  • Protect your device — use a screen lock and do not leave a session open on a shared machine.
8

Hospital & Patient Data

  • Ownership. Customer Data belongs to the Customer. We claim no ownership over patient records, clinical notes or any other content you put into ZenHosp.
  • Our role. We process Customer Data as a processor, on the Customer's documented instructions, to deliver the Services.
  • Isolation. Each Customer's data is held in a separate database schema. Data is never shared between hospitals.
  • Export. During an active Subscription, a Customer may export its data through the platform's export features or by asking our support team.
  • After termination. We retain Customer Data for 30 days after a Subscription ends so it can be exported, then delete it — except where law requires longer retention.
  • Backups. We take regular backups, but the Customer remains responsible for keeping its own records in line with its retention obligations.

How we handle personal data is set out in full in our Privacy Policy.

9

Subscriptions, Fees & Billing

  • ZenHosp is sold on a subscription basis. Your plan sets which modules, how many users and what limits you get.
  • Fees are charged in advance for each billing period and are stated exclusive of taxes unless we say otherwise.
  • Card payments are processed by Stripe. By subscribing you authorise recurring charges to your chosen payment method.
  • Subscriptions renew automatically unless cancelled before the renewal date.
  • You can cancel at any time. Cancellation takes effect at the end of the current billing period.
  • Fees already paid are non-refundable except where required by law or expressly stated in a written agreement.
  • Upgrading mid-period is charged pro rata. Downgrading takes effect at the next renewal.
  • We may change pricing with at least 30 days' notice before it affects your next renewal.
  • If payment fails, we may suspend access after notifying you and giving a reasonable chance to fix it.

This section covers what a hospital pays Zengnia for the software. It has nothing to do with patient invoices generated inside ZenHosp — those are between the hospital and its patients, and we are not a party to them.

10

Free Trials & Demos

  • We may offer a free trial or a guided demo environment. Trials are for evaluation only.
  • Do not enter real patient data into a trial or demo environment unless we have confirmed in writing that it is production-grade.
  • Trial data may be deleted when the trial ends, without further notice.
  • We may change or withdraw trial terms at any time, and trials come with no service-level commitment.
11

Availability & Support

We work hard to keep ZenHosp available around the clock, but we do not guarantee uninterrupted service. Access may be affected by scheduled maintenance, emergency fixes, third-party outages or events outside our control.

  • We give advance notice of planned maintenance wherever practical, and schedule it for low-usage windows.
  • Support is available through our support ticket form and by email.
  • Specific uptime commitments apply only where a signed service-level agreement says so.
  • We may add, change or discontinue features. We give reasonable notice before removing something material.

Plan for downtime. Every hospital should keep a documented fallback procedure for continuing care if any digital system — ours included — is unavailable.

12

Third-Party Services

The Services integrate with third-party providers — including Stripe for payments, Zoom for consultations, OpenAI for optional voice and chat features, and Google for sign-in and analytics.

  • Your use of an integrated service is also governed by that provider's own terms.
  • We are not responsible for the availability, accuracy or conduct of third-party services.
  • We may change or replace a provider where necessary to keep the Services running.
13

Intellectual Property

The Services — including all software, source code, design, interfaces, documentation, trademarks and the ZenHosp and Zengnia names and logos — are owned by Zengnia Technologies and protected by intellectual property law. These Terms grant you a licence to use the Services, not any ownership in them.

Customer Data remains yours. If you send us feedback, ideas or suggestions, you grant us a perpetual, royalty-free right to use them to improve the Services, with no obligation to compensate you.

14

Confidentiality

Each party may receive information the other treats as confidential. Both parties agree to protect that information with at least reasonable care, use it only to perform this agreement, and not disclose it except to staff and contractors who need it and are bound by equivalent duties.

This does not apply to information that is public through no fault of the receiving party, was already lawfully known, is independently developed, or must be disclosed by law — in which case the disclosing party is notified where legally permitted.

15

Suspension & Termination

We may suspend or terminate access where:

  • These Terms are breached, including the acceptable-use rules in Section 6
  • Subscription fees remain unpaid after notice and a reasonable cure period
  • An account is being used unlawfully, or in a way that endangers patient safety or platform security
  • We are required to do so by law or regulation

Except where the breach is severe or urgent, we give notice and a chance to put things right first. You may stop using the Services and cancel your Subscription at any time.

On termination your licence ends immediately. Sections on data, intellectual property, confidentiality, disclaimers, liability, indemnity and governing law survive.

16

Account Deletion

You may request deletion of your account and personal data at any time, without signing in, using our Delete Account request form, or by emailing privacy@zengnia.com from your registered address.

  • Requests are acknowledged immediately with a reference number and actioned within 30 days.
  • Deleting your account is permanent and cannot be undone.
  • Records we are legally obliged to retain — medical records, invoices, tax documents — are kept for the required period and then deleted.
  • Deleting a personal account does not cancel a hospital's Subscription; a Customer cancels through its billing settings or by contacting us.

Full detail is in Section 13 of our Privacy Policy.

17

Disclaimers

To the fullest extent permitted by law, the Services are provided “as is” and “as available”, without warranties of any kind, whether express, implied or statutory — including implied warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement.

In particular, we do not warrant that:

  • The Services will be uninterrupted, timely, secure or error-free
  • Data entered by users is accurate, complete or clinically appropriate
  • Any decision-support output, calculation or AI-generated text is correct
  • The Services meet the regulatory requirements of every jurisdiction in which they are used

Some jurisdictions do not allow the exclusion of certain warranties, so parts of this section may not apply to you.

18

Limitation of Liability

To the fullest extent permitted by law:

  • Zengnia is not liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, goodwill or data.
  • Zengnia is not liable for clinical decisions, diagnoses, treatments or outcomes. Those are the responsibility of the licensed professionals and facilities providing care.
  • Our total aggregate liability arising out of or relating to the Services is limited to the amount you paid us for the Services in the 12 months before the event giving rise to the claim.

Nothing in these Terms excludes liability that cannot lawfully be excluded — including liability for death or personal injury caused by our negligence, or for fraud.

19

Indemnity

You agree to indemnify and hold harmless Zengnia Technologies, its officers, employees and contractors from any claim, loss, liability or expense (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Services, your violation of law or of any third party's rights, or the content and accuracy of the data you enter.

20

Governing Law & Disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-law rules. The courts of Delaware have exclusive jurisdiction, except where mandatory local law gives you the right to bring proceedings in your own country.

Before starting formal proceedings, please contact us at legal@zengnia.com so we can try to resolve the matter directly. Most disputes are settled far more quickly that way.

21

Changes to These Terms

We may update these Terms from time to time. When we make material changes we update the “Last updated” date above and, where appropriate, notify you in the app or by email before the change takes effect.

Continuing to use the Services after an update means you accept the revised Terms. If you do not accept them, stop using the Services and, if you wish, request deletion of your account.

22

General Provisions

  • Entire agreement. These Terms and the Privacy Policy are the whole agreement between us on this subject, unless a signed agreement says otherwise.
  • Severability. If a provision is held unenforceable, the rest stays in force.
  • No waiver. Not enforcing a right on one occasion does not waive it.
  • Assignment. You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition or sale of assets.
  • Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control.
  • Language. Where these Terms are translated, the English version prevails if there is a conflict.
